End User License Agreement (EULA) for VibeKey

1. Agreement to Terms

By downloading, installing, accessing, or using VibeKey ("the App"), you agree to be bound by this End User License Agreement ("EULA"). If you do not agree, do not use the App.

2. Description of Service

VibeKey is an iOS keyboard extension that uses AI to transform text into different tones and styles. The App includes:

• Free features: On-device text transformation using Apple's Foundation Models
• Premium features: Cloud-based text transformation using OpenAI's API (requires subscription)

3. License Grant

Subject to this EULA, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Download and install the App on iOS devices you own or control
• Use the App for personal, non-commercial purposes
• Access and use the features available to you based on your subscription status

4. License Restrictions

You may not:

• Copy, modify, distribute, sell, or lease any part of the App
• Reverse engineer, decompile, or disassemble the App
• Remove or alter any proprietary notices or labels
• Use the App for any illegal or unauthorized purpose
• Use the App to violate any laws or regulations
• Interfere with or disrupt the App or servers/networks connected to the App
• Use automated systems to access the App
• Share your account or subscription with others
• Use the App in a way that could damage, disable, or impair the App

5. Subscription Terms

5.1 Premium Subscription

• VibeKey offers a premium subscription ("Premium Subscription") that provides unlimited access to premium features
• Subscription pricing: £6.99 per month (or equivalent in your local currency)
• Subscriptions are managed through Apple's App Store and are subject to Apple's terms

5.2 Subscription Renewal

• Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period
• Your Apple ID account will be charged for renewal within 24 hours prior to the end of the current period
• You can manage and cancel subscriptions in your Apple ID account settings

5.3 Free Trial

• If offered, free trials will be specified at the time of subscription
• After the trial, your subscription will automatically convert to a paid subscription unless cancelled

5.4 Refunds

• Refund requests must be made through Apple's refund process
• We do not process refunds directly
• Apple's standard refund policy applies

5.5 Subscription Changes

• We reserve the right to change subscription pricing with 30 days' notice
• Price changes will not affect your current subscription period
• New pricing will apply to subsequent renewal periods

6. Free Features

• Free features are provided "as is" without warranty
• Free features may be limited, modified, or discontinued at any time
• On-device processing requires iOS 26.0 or later and Apple Intelligence enabled

7. Intellectual Property Rights

• The App, including design, code, graphics, and content, is owned by us or our licensors
• This EULA does not grant you ownership of any intellectual property
• All trademarks, service marks, and trade names are the property of their respective owners
• You may not use our trademarks or branding without written permission

8. User Content

8.1 Your Text

• You retain ownership of text you input
• By using the App, you grant us a limited license to process your text to provide the service
• For free features: text is processed on-device and not transmitted
• For premium features: text is transmitted to OpenAI's API for processing (see Privacy Policy)

8.2 Prohibited Content

You may not use the App to create, transmit, or process content that:

• Is illegal, harmful, or violates any laws
• Infringes on intellectual property rights
• Contains hate speech, harassment, or discrimination
• Is defamatory, libelous, or invasive of privacy
• Contains malware, viruses, or harmful code
• Violates any third-party rights

9. Third-Party Services

9.1 OpenAI

• Premium features use OpenAI's API
• Your use of premium features is subject to OpenAI's Terms of Service: https://openai.com/policies/terms-of-use
• We are not responsible for OpenAI's services or data handling

9.2 Apple

• The App is distributed through Apple's App Store
• Your use is subject to Apple's Media Services Terms and Conditions: https://www.apple.com/legal/internet-services/itunes/

10. Disclaimers

10.1 Service Availability

• The App is provided "as is" and "as available"
• We do not guarantee uninterrupted or error-free operation
• We may modify, suspend, or discontinue features at any time
• Premium features require internet connectivity

10.2 AI-Generated Content

• AI-generated text is provided for informational purposes
• We do not guarantee accuracy, appropriateness, or quality
• You are responsible for reviewing and editing AI-generated content before use
• We are not liable for any consequences of using AI-generated content

10.3 No Warranties

We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will meet your requirements or be error-free.

11. Limitation of Liability

To the maximum extent permitted by law:

• We shall not be liable for indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid for the App in the 12 months preceding the claim
• We are not liable for:
  • Loss of data or content
  • Service interruptions or failures
  • Errors or inaccuracies in AI-generated content
  • Actions taken based on AI-generated content
  • Third-party service failures (including OpenAI or Apple)

12. Indemnification

You agree to indemnify, defend, and hold us harmless from claims, damages, losses, and expenses (including legal fees) arising from:

• Your use of the App
• Your violation of this EULA
• Your violation of any law or third-party rights
• Content you create or transmit using the App

13. Termination

13.1 By You

• You may stop using the App at any time
• You may delete the App from your device
• Cancelling your subscription does not terminate this EULA for past use

13.2 By Us

We may terminate or suspend your access immediately if:

• You violate this EULA
• You engage in fraudulent or illegal activity
• We are required to do so by law
• We discontinue the App or service

13.3 Effect of Termination

• Upon termination, your right to use the App ceases
• We may delete your data in accordance with our Privacy Policy
• Provisions that by their nature should survive will survive

14. Updates and Modifications

• We may update the App or this EULA at any time
• Updates may be mandatory
• Continued use after changes constitutes acceptance
• Material changes will be communicated through the App or our website

15. Export Restrictions

• The App may be subject to export laws and regulations
• You may not export or re-export the App in violation of applicable laws
• You represent that you are not located in a country subject to export restrictions

16. Governing Law and Dispute Resolution

• This EULA is governed by the laws of England and Wales
• Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales

16.2 Dispute Resolution

• You agree to first contact us to resolve disputes
• If unresolved, disputes will be resolved through binding arbitration or in courts of competent jurisdiction

17. Severability

If any provision is found unenforceable, the remaining provisions will remain in effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

18. Entire Agreement

This EULA, together with our Privacy Policy, constitutes the entire agreement between you and us regarding the App and supersedes prior agreements.

19. Waiver

Our failure to enforce any provision does not constitute a waiver of that provision or any other provision.

20. Assignment

You may not assign or transfer this EULA or your rights without our written consent. We may assign this EULA without restriction.
